1. Acceptance of Terms

Welcome to Presenze. These Terms of Service ("Terms") constitute a legally binding agreement between you and FlowNordics ApS ("we," "us," or "our") governing your access to and use of the Presenze mobile application (available on the Apple App Store) and web application (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Presenze is a content creation platform that provides:

• AI-powered script generation and content analysis
• Trend discovery and content inspiration
• Teleprompting functionality for video recording
• Content scheduling and management tools
• Integration with social media platforms

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years old to use our Service. If you are between 13 and 18 years old, you must have permission from a parent or legal guardian to use the Service. By using Presenze, you represent and warrant that you meet these age requirements.

3.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Credits System and Payments

4.1 Credits

Presenze operates on a credit-based system. Credits are used to access AI-powered features and premium functionality. New users receive 10 free credits upon sign-up.

4.2 Purchasing Credits

• Credits can be purchased through our Service using payment methods processed by Stripe
• All prices are displayed in the currency specified at the time of purchase
• Prices are subject to change, but changes will not affect credits already purchased
• Payment processing is subject to Stripe's terms and conditions

4.3 Credit Usage and Expiration

• Credits are consumed when you use AI-powered features
• Credits do not expire unless your account is terminated
• Credits are non-transferable between accounts
• Unused credits remain in your account for future use

4.4 Refund Policy

Credit purchases are generally non-refundable. However, we may provide refunds at our sole discretion in cases of:

• Technical errors resulting in incorrect charges
• Service unavailability preventing credit usage
• Duplicate charges or billing errors

Refund requests must be submitted within 14 days of purchase to info@flownordics.com.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to content you create, upload, or submit through the Service ("User Content"). By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your User Content
• Use your User Content to provide and improve the Service
• Process your User Content through AI services (OpenAI, Google Gemini, Anthropic)
• Create backups and derivative works necessary for Service operation

This license terminates when you delete your User Content or close your account, except for content that has been shared with others or is required for legal compliance.

5.2 Content Responsibilities

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to all User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws
• You have obtained all necessary permissions and consents

5.3 Our Intellectual Property

The Service, including its design, features, software, and content (excluding User Content), is owned by FlowNordics ApS and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Use our trademarks without written permission

6. AI-Generated Content

6.1 AI Services

Our Service uses artificial intelligence from OpenAI, Google Gemini, and Anthropic to generate scripts, analyze trends, and provide content suggestions. You acknowledge that:

• AI-generated content may not always be accurate, complete, or suitable for your purposes
• You are responsible for reviewing and verifying all AI-generated content before use
• AI-generated content may be similar to content generated for other users
• We do not guarantee the originality or uniqueness of AI-generated content

6.2 Your Responsibility

You are solely responsible for:

• Reviewing and editing AI-generated content
• Ensuring content accuracy and appropriateness
• Compliance with platform guidelines where content is published
• Any consequences of using AI-generated content

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Create, upload, or distribute illegal, harmful, or offensive content
• Harass, threaten, or intimidate others
• Impersonate any person or entity
• Distribute spam, malware, or viruses
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service's operation
• Use automated systems (bots, scrapers) without permission
• Resell or redistribute the Service without authorization
• Create content that infringes intellectual property rights
• Generate content for illegal or fraudulent purposes

8. Third-Party Services and Integrations

Our Service may integrate with or link to third-party services, including:

• Social media platforms for content scheduling and publishing
• AI service providers (OpenAI, Google Gemini, Anthropic)
• Payment processors (Stripe)
• Analytics and performance monitoring services

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services, their content, or their practices.

9. Disclaimers and Warranties

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted or error-free operation
• Warranties regarding AI-generated content quality or suitability

9.2 No Guarantee of Results

We do not guarantee that the Service will meet your requirements, achieve specific results, or help you grow your audience or business. Success depends on many factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWNORDICS APS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Errors or inaccuracies in AI-generated content
• Actions taken based on Service content or recommendations
• Third-party conduct or content

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless FlowNordics ApS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting info@flownordics.com or using the account deletion feature in the Service. Upon termination:

• Your access to the Service will be revoked
• Your User Content will be deleted within 90 days
• Unused credits will be forfeited (no refunds)
• Some data may be retained as required by law

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for illegal activities
• We are required to do so by law
• Your account has been inactive for an extended period
• We discontinue the Service

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Denmark, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

If you are a consumer in the European Union, you may also have the right to bring proceedings in your country of residence.

14. Dispute Resolution

Before filing a legal claim, we encourage you to contact us at info@flownordics.com to resolve disputes informally. We will attempt to resolve disputes in good faith within 30 days.

EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last updated" date
• Sending an email notification to your registered email address
• Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlowNordics ApS regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
